Attention U.S. Persons!

We would love to have American families and companies invest in GasTechno, but the SEC does not allow any non-accredited investors to invest in American companies. Every investor in America must be an “accredited investor” to invest in American companies unless the company qualifies for crowd funding.
The basic SEC definition to be an “accredited investor” requires each person to have at least $1 million dollar net worth, without including their primary residence, or making at least $200,000 per year annual income. This restriction eliminates about 90% of the American public from investing as most American families don’t qualify for the accredited investor definition.
While the SEC does allow for issuers like GasTechno to sell stock to non-accredited investors, it requires filing a Regulation D, 506CF or Regulation A registered offering, and those are complex, expensive and limiting to the issuer. The SEC does not make it easy for American families to invest in American companies.
Therefore, we have decided to proceed with a Regulation S offering that allows foreign only, Non-U.S. investors as this SEC exemption only requires a proof of government issued identification to invest. We are not required to gather the financial information to determine if they qualify as an “accredited investor”.
